📝 SALE OF GOODS AGREEMENT TEMPLATE (anonymized)

§ 1 — Confirmation of Authorization and Agreement Terms

The representatives of both parties confirm that they are legally authorized to enter into this Agreement. The Buyer agrees to acquire the use of the equipment specified below under the terms of this Agreement.

§ 2 — Seller's Representations and Obligations

§ 3 — Sale Price and VAT Obligation

VAT is charged in accordance with applicable legislation (EU: reverse charge 0% / local rate).

PAYMENT TERMS (3 installments):

§ 4 — Seller's Obligations Regarding the Object of Sale

The Seller provides via FTP: technical documentation (EN), user manual (EN), CE certificate. Buyer's additional costs: transport and accommodation for two installers.

§ 5 — Withdrawal and Cancellation

In case of withdrawal, the Seller's General Terms (AGB ZVEI) apply.

§ 6 — Warranty and Maintenance

Warranty 12 months from the signature of the acceptance protocol (max 14 months from shipping).

§ 7 — Force Majeure

In the event of force majeure, the delivery date may be extended by the duration of the event.

§ 8 — Governing Law and Dispute Resolution

CISG (Vienna 1980) + DAP Incoterms 2010; disputes: ICC arbitration in Vienna.

§ 9 — Amendments and Miscellaneous

Amendments in writing, signed by both parties. Appendices 1-5 are an integral part of this Agreement.
